This Copyright, Intellectual Property & Content Policy (“IP Policy”) explains the rules governing content uploaded to, processed through, generated by, or distributed using Adiy AI (“Adiy AI”, “Adiy”, “we”, “us”, or “our”).

Adiy AI provides AI-powered tools that may analyze, transform, adapt, recreate, repurpose, or generate advertising and marketing content.

Because users may provide advertisements, videos, images, brand assets, scripts, audio, and other third-party materials, intellectual-property rights are an important part of using our Services.

This IP Policy forms part of the Adiy AI Terms of Service.

1. OUR ROLE

Adiy AI is a technology platform.

We provide software and AI-powered tools that allow users to:

Analyze advertisements;
Extract creative patterns and concepts;
Generate alternative scripts;
Adapt advertising concepts to a user's brand;
Transform creative materials;
Generate new images, videos, scripts, voiceovers, and other creative assets;
Create content inspired by existing advertising concepts; and
Repurpose content supplied by the user.

Adiy AI does not determine whether a user has the legal right to use particular source material.

The person or organization uploading, processing, publishing, or commercially exploiting content through Adiy AI is responsible for ensuring that it has the necessary rights, licenses, permissions, consents, and legal authority.

2. OWNERSHIP OF UPLOADED CONTENT

You retain ownership of content that you upload to Adiy AI (“User Content”), subject to any rights belonging to third parties.

User Content may include:

Advertisements;
Videos;
Images;
Audio;
Music;
Scripts;
Logos;
Brand guidelines;
Product information;
Product photography;
Marketing materials;
Social-media content;
Voice recordings; and
Other creative materials.

Uploading content to Adiy AI does not transfer ownership of that content to Adiy AI.

However, you must have sufficient rights to authorize Adiy AI to process that content.

3. THIRD-PARTY AND COMPETITOR ADVERTISEMENTS

Adiy AI may allow users to upload advertisements belonging to competitors or other third parties for purposes such as:

Creative analysis;
Market research;
Concept development;
Advertising inspiration;
Structural analysis;
Script adaptation;
Creative transformation; or
Generation of new advertising concepts.

Uploading a third-party advertisement does not itself give you ownership or permission to commercially use that advertisement.

You are responsible for determining whether your intended use is legally permitted.

If you do not have appropriate rights or another applicable legal basis for using third-party material, you should not upload or process that material through Adiy AI.

4. “INSPIRED BY” CONTENT

Adiy AI may generate content that is conceptually inspired by materials submitted by users.

Creative inspiration may include analysis of:

Advertising structure;
Storytelling techniques;
Visual composition;
Pacing;
General creative concepts;
Marketing approaches;
Product positioning;
Narrative structures;
Calls to action;
Creative formats; and
Other high-level advertising characteristics.

However, users must not intentionally use Adiy AI to reproduce protected third-party material substantially or deceptively.

You should distinguish between:

General creative inspiration, which may include ideas, themes, formats, or techniques, and

Protected expression, which may include specific footage, images, music, scripts, artwork, logos, characters, performances, or other protected material.

Users are responsible for ensuring that their final output does not unlawfully reproduce or exploit third-party protected material.

5. RECREATING ADVERTISEMENTS

Adiy AI may provide tools capable of recreating or transforming advertising concepts or creative elements.

These capabilities do not constitute a representation that any particular recreation is legally permissible.

You must not use Adiy AI to create an unauthorized copy of another party's advertisement where doing so would infringe copyright, trademark, publicity, privacy, contractual, or other rights.

This includes attempts to reproduce:

Substantially identical video footage;
Copyrighted music;
Original voice performances;
Actors' or creators' performances;
Distinctive copyrighted artwork;
Protected characters;
Brand identifiers;
Logos;
Trademarks;
Proprietary scripts; or
Other protected expression

without appropriate authorization or another lawful basis.

6. TRANSFORMATIONAL USE

Adiy AI may enable users to transform existing material into substantially different creative content.

Examples may include:

Changing the script;
Changing the visual concept;
Changing the product or brand;
Creating new scenes;
Generating new footage;
Changing narration;
Changing visual style;
Creating a different storyline;
Creating a new call to action; or
Combining general advertising concepts with the user's own brand assets.

Transformation does not automatically make the resulting content legally permissible.

Whether a particular use qualifies as fair use, fair dealing, parody, criticism, research, or another legal exception depends on the applicable jurisdiction and circumstances.

Adiy AI does not provide legal advice or determine whether a particular use qualifies for such an exception.

7. USER RESPONSIBILITY FOR RIGHTS

Before uploading or commercially using content through Adiy AI, you represent and warrant that:

You own the content or have obtained the necessary rights;
You have permission to upload and process the content;
You have permission to use any third-party intellectual property contained in the content where required;
You have obtained necessary consent for identifiable individuals;
You have appropriate rights to use music, audio, footage, images, trademarks, and other protected materials;
Your use does not violate any contract or license;
Your intended advertising use complies with applicable law; and
You have authority to grant Adiy AI the permissions required to process the content.

8. COPYRIGHT

Videos;
Films;
Photographs;
Graphics;
Illustrations;
Music;
Sound recordings;
Written scripts;
Advertisements;
Artwork; and
Other original creative expression.

You must not use Adiy AI to knowingly infringe copyright.

If you are uncertain whether you have the right to upload or use particular content, you should obtain appropriate legal advice or permission from the rights holder before using it.

9. TRADEMARKS AND BRAND IDENTIFIERS

Adiy AI may allow users to upload or use trademarks, logos, trade names, product names, and other brand identifiers.

You are responsible for ensuring that your use of third-party trademarks is authorized or otherwise legally permissible.

You must not use Adiy AI to:

Create counterfeit branding;
Misrepresent affiliation with another company;
Impersonate a brand;
Create misleading endorsements;
Suggest sponsorship that does not exist; or
Confuse consumers regarding the source of goods or services.

Adiy AI does not grant you ownership of third-party trademarks merely because you upload or process them through the Services.

10. PEOPLE, LIKENESS, VOICE AND PERFORMANCE RIGHTS

You must not use Adiy AI to create or distribute unauthorized representations of real individuals where such use violates applicable privacy, publicity, personality, likeness, or other rights.

This includes unauthorized use of:

Celebrity likenesses;
Influencer likenesses;
Actors;
Employees;
Customers;
Creators;
Voice recordings;
Voice likenesses;
Personal photographs; or
Performances.

If you upload a person's image, video, voice, or other identifiable material, you are responsible for obtaining any required permission or consent.

You must not use Adiy AI to falsely imply that a person endorses, sponsors, recommends, or is affiliated with a product or business without appropriate authorization.

11. MUSIC AND AUDIO

Users are responsible for ensuring that they have appropriate rights to use music, sound recordings, voice recordings, and other audio uploaded to or generated through the Services.

A user must not upload copyrighted music or sound recordings for commercial advertising purposes unless the user has the necessary license or another lawful basis.

Adiy AI does not provide a blanket license to third-party music.

12. AI-GENERATED OUTPUT

Content generated by Adiy AI may include:

Text;
Images;
Videos;
Audio;
Voice;
Scripts;
Graphics;
Marketing concepts; and
Other creative material.

AI-generated content may not always be original or exclusive.

Similar or substantially similar outputs may be generated for different users.

Adiy AI does not guarantee that Output:

Is copyrightable;
Is trademarkable;
Is unique;
Is legally protectable;
Does not resemble third-party material;
Does not contain third-party intellectual property; or
Is suitable for commercial publication without further review.

You are responsible for reviewing Output before publishing or commercially using it.

13. OUTPUT OWNERSHIP

Subject to your compliance with the Terms of Service and applicable law, Adiy AI generally allows you to use Output generated for your account for your intended commercial purposes.

However, Adiy AI cannot grant rights that it does not own.

For example, if Output contains third-party material, third-party intellectual property rights may continue to apply.

You are responsible for identifying and obtaining any additional rights necessary for your intended use.

14. NO GUARANTEE OF NON-INFRINGEMENT

Adiy AI does not guarantee that any Output is free from claims of infringement.

AI systems may generate content that is similar to existing works.

You should conduct appropriate review before using Output in:

Paid advertising;
Commercial campaigns;
Television;
Social media;
Websites;
Product packaging;
Promotional materials; or
Other public or commercial contexts.

For high-value campaigns or regulated industries, we recommend appropriate legal and advertising review.

15. COMPETITOR ADVERTISING

Adiy AI does not prohibit users from studying or analyzing competitor advertising.

However, users are responsible for ensuring that their use of competitor advertising does not violate:

Copyright;
Trademark law;
Trade-secret law;
Confidentiality obligations;
Contractual restrictions;
Privacy rights;
Publicity rights;
Advertising regulations; or
Other applicable laws.

Adiy AI is not responsible for determining whether a user's particular use of competitor advertising is lawful.

16. PROHIBITED INTELLECTUAL-PROPERTY USES

You must not use Adiy AI to:

A. Create unauthorized copies

Create substantially identical copies of third-party advertisements, videos, images, music, scripts, or other protected works without authorization.

B. Remove ownership information

Remove, obscure, or alter copyright notices, watermarks, attribution, or other ownership information where doing so violates applicable law or contractual restrictions.

C. Circumvent protections

Bypass DRM, access controls, paywalls, licensing restrictions, watermark protections, or other technical measures intended to protect intellectual property.

D. Impersonate brands

Create advertising designed to falsely appear to originate from another company.

E. Misappropriate creators

Use another creator's distinctive work, likeness, voice, or performance without appropriate authorization where required.

F. Create counterfeit advertising

Generate advertising intended to deceive consumers into believing that counterfeit goods or services are authorized or genuine.

17. CONTENT MODERATION

Adiy AI may use automated systems and, where reasonably necessary, human review to detect:

Copyright abuse;
Trademark misuse;
Fraud;
Unauthorized impersonation;
Malicious activity;
Policy violations;
Security threats; and
Other prohibited uses.

Automated systems may not always accurately determine whether content infringes rights.

A moderation decision does not constitute a legal determination regarding ownership or infringement.

18. REPORTING COPYRIGHT OR IP INFRINGEMENT

If you believe that content available through Adiy AI infringes your copyright or other intellectual-property rights, you may submit a complaint to:

Your notice should include, where applicable:

Your full name and contact information;
Identification of the protected work;
Identification of the allegedly infringing content;
Information sufficient for us to locate the content;
Evidence that you own the rights or are authorized to act on behalf of the rights holder;
A description of the alleged infringement; and
A good-faith statement that the information provided is accurate.

We may request additional information before taking action.

19. RESPONSE TO IP COMPLAINTS

After receiving a sufficiently detailed complaint, Adiy AI may:

Investigate the complaint;
Request additional information;
Restrict access to the relevant content;
Remove content;
Suspend related functionality;
Contact the relevant account holder;
Preserve relevant information where legally appropriate; or
Take no action where the complaint is insufficient or does not establish a reasonable basis for action.

Adiy AI does not guarantee that every complaint will result in removal.

20. COUNTER-NOTICES

If your content has been restricted or removed because of an intellectual-property complaint and you believe the action was incorrect, you may contact us with:

Identification of the affected content;
An explanation of why you believe the restriction was incorrect;
Evidence of your rights or authorization;
Your contact information; and
Any other information reasonably necessary to evaluate the matter.

Adiy AI may restore content where appropriate.

Nothing in this section requires Adiy AI to restore content where doing so would create legal, security, or policy concerns.

21. REPEAT INFRINGERS

Adiy AI may suspend or terminate accounts that repeatedly infringe or are reasonably believed to repeatedly infringe third-party intellectual-property rights.

We may also restrict accounts that repeatedly submit materially false or abusive intellectual-property complaints.

22. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Adiy AI, its affiliates, directors, officers, employees, contractors, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from or related to:

Your User Content;
Your use of third-party advertisements;
Your use of competitor content;
Your Output;
Your advertising campaigns;
Your infringement or alleged infringement of third-party rights;
Your violation of this IP Policy; or
Your violation of applicable law.

23. ADIY AI'S LIMITED RESPONSIBILITY

Adiy AI provides technology that assists users in creating and transforming advertising content.

Adiy AI does not:

Determine ownership of uploaded content;
Determine whether an upload infringes copyright;
Determine whether a particular use qualifies as fair use or fair dealing;
Provide legal advice;
Guarantee that an advertisement is legally compliant;
Guarantee that Output is free from third-party rights; or
Guarantee that a particular advertisement can legally be published.

The final decision to publish, distribute, or commercially use an advertisement remains with the user.

24. AUTOMATED SYSTEMS AND FALSE POSITIVES

Because Adiy AI may use automated systems to identify potentially problematic content, such systems may occasionally flag lawful content or fail to identify problematic content.

A moderation result should not be interpreted as a legal opinion.

Where appropriate, users may request human review.

25. CHANGES TO THIS POLICY

We may update this IP Policy from time to time.

Material changes may be communicated through the Services, email, or another reasonable method.

The updated version becomes effective when posted unless otherwise stated.

27. ACCEPTANCE

By uploading, processing, generating, downloading, publishing, or otherwise using content through Adiy AI, you acknowledge that you have read and understood this Copyright, Intellectual Property & Content Policy and agree to comply with it.

If you do not have the necessary rights or permissions to use particular content, you should not upload or commercially use that content through Adiy AI.
