Terms of Service

Welcome to Adiy AI (“Adiy AI”, “Adiy”, “we”, “us”, or “our”).

These Terms of Service (“Terms”) govern your access to and use of the Adiy AI website, software, applications, APIs, AI-powered advertising tools, and related services (collectively, the “Services”).

By creating an account, accessing, purchasing, or using the Services, you agree to be legally bound by these Terms. If you are using the Services on behalf of a company, agency, or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.

If you do not agree to these Terms, do not use the Services.

1. DESCRIPTION OF THE SERVICES

Adiy AI provides AI-powered advertising and creative tools that may allow users to analyze, transform, repurpose, modify, generate, customize, or otherwise create advertising and marketing content based on materials supplied by the user.

The Services may include:

  • Advertisement analysis;
  • Script and copy generation;
  • Creative adaptation;
  • Video and image generation or transformation;
  • Brand-specific creative generation;
  • AI-assisted editing;
  • Marketing-content generation;
  • Campaign and creative recommendations; and
  • Other AI-powered advertising functionality introduced by Adiy AI from time to time.

Features may change, be added, suspended, or discontinued at our discretion.

2. ELIGIBILITY AND BUSINESS USE

You must be legally capable of entering into a binding contract to use the Services.

If you use Adiy AI for a business, you confirm that:

  1. You are authorized to act on behalf of that business;
  2. You have authority to upload and process the business's content;
  3. You have obtained all necessary permissions, licenses, consents, and rights required for your use of the Services; and
  4. Your use of the Services complies with applicable laws and regulations.

Adiy AI is primarily intended for business, commercial, marketing, advertising, and professional use.

3. ACCOUNT REGISTRATION

You may be required to create an account to use certain features.

You are responsible for:

  • Providing accurate account information;
  • Maintaining the confidentiality of your login credentials;
  • Protecting access to your account;
  • All activities conducted through your account; and
  • Promptly notifying Adiy AI of unauthorized access.

You must not share, sell, transfer, or otherwise provide access to your account except as expressly permitted by your subscription plan.

You are responsible for ensuring that employees, contractors, agencies, and other users accessing your organization's account comply with these Terms.

4. YOUR CONTENT

“Your Content” means any content, materials, data, files, advertisements, videos, images, audio, logos, trademarks, brand guidelines, scripts, text, documents, prompts, or other materials that you upload, submit, transmit, or otherwise provide to Adiy AI.

You retain ownership of Your Content.

You grant Adiy AI a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, modify, analyze, and otherwise use Your Content only as reasonably necessary to provide, operate, maintain, secure, and improve the Services, subject to our Privacy Policy and any applicable agreement with you.

You represent and warrant that:

  • You own Your Content or have sufficient rights and permissions to use it;
  • Your Content does not unlawfully infringe another person's intellectual property, privacy, publicity, contractual, or other rights;
  • You have obtained all necessary permissions for people, brands, music, footage, images, voices, trademarks, and other protected material contained in Your Content;
  • You have the authority to authorize Adiy AI to process Your Content; and
  • Your Content complies with applicable law.

5. THIRD-PARTY ADVERTISEMENTS AND CONTENT

Adiy AI may allow you to upload or reference advertisements, marketing materials, videos, images, or other content created by third parties.

Adiy AI does not grant you ownership or a license to third-party content merely because you upload or process it through the Services.

You are solely responsible for determining whether you have the legal right to use, reproduce, transform, adapt, distribute, publish, or commercially exploit any third-party content.

This includes, without limitation:

  • Copyrighted advertisements;
  • Brand assets;
  • Logos and trademarks;
  • Music and sound recordings;
  • Stock footage;
  • Celebrity or influencer likenesses;
  • Voice recordings;
  • Product photography;
  • User-generated content;
  • Competitor advertising materials; and
  • Other third-party intellectual property.

You must not use Adiy AI to circumvent copyright protection, licensing restrictions, access controls, or other legal restrictions.

6. AI-GENERATED OUTPUT

“Output” means content generated, transformed, edited, or produced through the Services.

Subject to your compliance with these Terms and any applicable subscription restrictions, Adiy AI generally assigns to you whatever rights Adiy AI may have in the Output generated specifically for you.

However, Adiy AI does not guarantee that Output is legally protectable, exclusive, copyrightable, trademarkable, or free from third-party rights.

AI-generated content may:

  • Resemble existing content;
  • Contain errors or inaccuracies;
  • Produce similar outputs for different users;
  • Include material that requires additional licensing or review;
  • Contain unintended similarities to third-party works; or
  • Be subject to limitations under applicable intellectual-property laws.

You are responsible for reviewing Output before publishing, distributing, advertising, or commercially using it.

7. NO GUARANTEE OF ADVERTISING PERFORMANCE

Adiy AI provides tools intended to assist with advertising and creative production.

We do not guarantee:

  • Increased sales;
  • Increased conversion rates;
  • Increased return on advertising spend (ROAS);
  • Increased engagement;
  • Increased revenue;
  • Increased customer acquisition;
  • Successful advertising campaigns;
  • Approval by advertising platforms;
  • Compliance with the policies of Meta, Google, TikTok, YouTube, or other platforms; or
  • Any particular commercial result.

Any performance estimates, recommendations, scores, predictions, or AI-generated suggestions are informational and should not be treated as guarantees.

8. ADVERTISING AND REGULATORY COMPLIANCE

You are solely responsible for ensuring that advertisements and marketing materials produced using Adiy AI comply with all applicable laws, regulations, industry requirements, and advertising-platform policies.

You must not use Adiy AI to create or distribute deceptive, fraudulent, misleading, unlawful, or materially false advertising.

You are responsible for reviewing claims relating to:

  • Health;
  • Medicine;
  • Financial products;
  • Investments;
  • Insurance;
  • Alcohol;
  • Gambling;
  • Political content;
  • Children's products;
  • Food and supplements;
  • Cosmetics;
  • Professional services; and
  • Other regulated products or services.

Adiy AI does not provide legal, regulatory, medical, financial, or advertising-law advice.

9. PROHIBITED USE

You must not use the Services to:

  1. Infringe intellectual-property rights;
  2. Impersonate a person or organization without authorization;
  3. Create deceptive or fraudulent advertisements;
  4. Generate unlawful or defamatory content;
  5. Create content intended to facilitate fraud or scams;
  6. Violate privacy or publicity rights;
  7. Generate non-consensual intimate content;
  8. Manipulate or impersonate individuals deceptively;
  9. Circumvent copyright, licensing, DRM, or technical protections;
  10. Upload malware, viruses, or malicious code;
  11. Attempt to gain unauthorized access to Adiy AI systems;
  12. Reverse engineer or extract the underlying models or systems except where expressly permitted by law;
  13. Scrape or systematically extract data from the Services;
  14. Resell or sublicense the Services except under an authorized reseller or enterprise agreement;
  15. Use the Services to develop a competing service by systematically copying or extracting Adiy AI's functionality, datasets, or outputs;
  16. Use the Services for unlawful surveillance;
  17. Generate content that violates applicable law; or
  18. Circumvent usage limits, security controls, subscription restrictions, or billing mechanisms.

Adiy AI reserves the right to investigate suspected violations and suspend or terminate accounts where reasonably necessary.

10. AI AND THIRD-PARTY TECHNOLOGY

Adiy AI may use third-party artificial intelligence models, APIs, cloud infrastructure, storage providers, payment processors, analytics services, and other technology providers.

These providers may process information or content submitted through the Services as necessary to provide the requested functionality.

Third-party services may have their own terms, policies, limitations, and availability requirements.

Adiy AI does not guarantee uninterrupted availability of any third-party model, API, platform, or service.

If a third-party provider changes, limits, suspends, or discontinues its service, Adiy AI may modify or discontinue the corresponding functionality.

11. DATA PROCESSING AND PRIVACY

Your use of the Services is also subject to our Privacy Policy.

You acknowledge that Adiy AI may collect and process information necessary to operate the Services, including account information, usage information, billing information, technical information, and content submitted by you.

Where applicable, Adiy AI will process personal data in accordance with applicable data-protection laws.

If you use Adiy AI to process personal data belonging to your customers, employees, users, or other individuals, you are responsible for ensuring that you have an appropriate legal basis and the necessary permissions to provide that data to Adiy AI.

Where required for a particular enterprise customer or processing arrangement, the parties may enter into a separate Data Processing Agreement (“DPA”).

12. CONFIDENTIALITY

Each party may receive confidential information belonging to the other party.

Each party agrees to:

  • Use confidential information only for purposes related to the Services or applicable business relationship;
  • Protect confidential information using reasonable safeguards; and
  • Not disclose confidential information to unauthorized third parties except where required by law.

Confidential information does not include information that:

  • Is publicly available without breach of these Terms;
  • Was already lawfully known to the receiving party;
  • Is independently developed without use of confidential information; or
  • Is lawfully obtained from another source without confidentiality restrictions.

13. OWNERSHIP OF ADIY AI

The Services, including the Adiy AI software, platform, user interface, technology, algorithms, models, workflows, designs, trademarks, logos, documentation, and underlying intellectual property, are owned by or licensed to Adiy AI.

Except for the limited rights expressly granted under these Terms, you receive no ownership rights in the Services.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works of the Services except as expressly permitted by law or by written agreement with Adiy AI.

14. FEEDBACK

If you provide suggestions, recommendations, ideas, bug reports, or other feedback regarding Adiy AI, you grant Adiy AI the right to use and incorporate that feedback without restriction or compensation to you.

You retain ownership of your underlying intellectual property.

15. SUBSCRIPTIONS AND FEES

Certain Services require a paid subscription.

Prices, usage limits, credits, features, and billing periods are displayed at the time of purchase or in your applicable order form.

Unless otherwise stated:

  • Fees are charged in advance;
  • Subscription fees are non-refundable except where required by law or expressly stated otherwise;
  • Taxes, duties, or government charges may apply;
  • Usage beyond your subscription limits may require additional payment;
  • Promotional pricing may be subject to separate conditions.

Enterprise customers may be subject to separate commercial agreements or order forms.

16. AUTOMATIC RENEWAL

Where recurring billing applies, your subscription may automatically renew for the same billing period unless cancelled before the applicable renewal date.

You authorize Adiy AI or its payment processor to charge the applicable subscription fee and taxes using your selected payment method.

You may cancel recurring subscriptions through the applicable account or billing controls.

Cancellation generally takes effect at the end of the current billing period unless otherwise stated.

17. REFUNDS

Unless otherwise specified in an applicable order form, purchases are generally non-refundable once the applicable subscription period or AI credits have been activated or consumed.

Nothing in these Terms limits any refund or consumer rights that cannot legally be excluded.

Enterprise contracts may contain separate refund, termination, credit, or service-level provisions.

18. SERVICE AVAILABILITY

We aim to provide reliable and continuous access to the Services but do not guarantee uninterrupted availability.

The Services may occasionally be unavailable because of:

  • Maintenance;
  • Updates;
  • Security incidents;
  • Infrastructure failures;
  • Third-party service failures;
  • Internet or telecommunications failures;
  • Government restrictions;
  • Force majeure events; or
  • Other circumstances beyond our reasonable control.

19. CONTENT REMOVAL AND ACCOUNT SUSPENSION

Adiy AI may suspend, restrict, or terminate access to the Services if we reasonably believe that:

  • You violated these Terms;
  • Your use creates legal or security risk;
  • Your account is being used fraudulently;
  • You infringe third-party rights;
  • You fail to pay applicable fees;
  • Your activity threatens the integrity of the Services; or
  • Suspension is reasonably necessary to comply with law or a valid governmental request.

Where reasonably practicable, we may provide notice and an opportunity to resolve the issue.

20. EFFECT OF TERMINATION

Upon termination:

  • Your right to access the Services will end;
  • Outstanding payment obligations remain payable;
  • Sections that by their nature should survive termination will remain effective.

Subject to our data-retention obligations and applicable law, Adiy AI may delete account data and content following termination according to its applicable retention practices.

You are responsible for downloading any data or Output you wish to retain before termination where such functionality is available.

21. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

ADIY AI DISCLAIMS WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RELIABILITY, EXCEPT WHERE SUCH WARRANTIES CANNOT LAWFULLY BE EXCLUDED.

WE DO NOT WARRANT THAT:

  • THE SERVICES WILL BE ERROR-FREE;
  • OUTPUT WILL BE ACCURATE;
  • OUTPUT WILL BE UNIQUE;
  • OUTPUT WILL BE FREE FROM THIRD-PARTY RIGHTS;
  • THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS; OR
  • THE SERVICES WILL PRODUCE ANY PARTICULAR BUSINESS RESULT.

You are responsible for independently reviewing and approving AI-generated content before use.

22. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADIY AI AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADIY AI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

(a) THE AMOUNT YOU PAID TO ADIY AI FOR THE SERVICES DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(b) INR 10,000,

except to the extent such limitation is prohibited by applicable law.

For enterprise customers, a separately executed agreement may provide different liability limits.

23. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Adiy AI and its directors, officers, employees, affiliates, contractors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from or related to:

  1. Your Content;
  2. Your use of the Services;
  3. Your violation of these Terms;
  4. Your violation of applicable law;
  5. Your infringement or alleged infringement of third-party rights; or
  6. Your advertisements, marketing campaigns, products, or services.

This obligation applies to the extent permitted by applicable law.

24. INTELLECTUAL PROPERTY CLAIMS

If you believe that content processed or made available through Adiy AI infringes your intellectual-property rights, you may contact us with sufficient information to identify:

  • The copyrighted or otherwise protected work;
  • The allegedly infringing material;
  • Your contact information;
  • Evidence of your ownership or authorization to act; and
  • A description of the requested action.

Adiy AI may remove or restrict access to content where reasonably appropriate and legally required.

25. CHANGES TO THESE TERMS

We may update these Terms from time to time.

If we make material changes, we may provide notice through the Services, email, or other reasonable means.

Your continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms.

26. THIRD-PARTY SERVICES AND LINKS

The Services may integrate with or contain links to third-party services.

Adiy AI does not control and is not responsible for third-party services, websites, content, policies, availability, security, or performance.

Your use of third-party services may be subject to separate terms and privacy policies.

27. FORCE MAJEURE

Adiy AI will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, government action, internet outages, cloud-service failures, telecommunications failures, labor disputes, epidemics, or infrastructure failures.

28. GOVERNING LAW AND DISPUTES

These Terms will be governed by the laws of India, without regard to conflict-of-law principles.

Subject to applicable law, disputes arising out of or relating to these Terms or the Services will be subject to the jurisdiction of the courts located in [CITY – Dankuni - Kolkata Metropolitan city , STATE- West Bengal , INDIA].

For enterprise customers, the parties may agree to arbitration or another dispute-resolution mechanism in a separate written agreement.

29. SEVERABILITY

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

30. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, applicable Order Forms, Data Processing Agreements, and other written agreements expressly incorporated into these Terms, constitute the entire agreement between you and Adiy AI regarding the Services.
